1. Agreement to these Terms
These Terms of Service (“Terms”) are a binding agreement between you and Metabody Services, LLC (“Bliv,” “we,” “us”). They govern your access to and use of joinbliv.com and its subdomains, our mobile applications, our AI Assistant, and all related products, content, and services we make available (together, the “Services”). By creating an account, clicking “I agree,” installing or using our app, or purchasing anything through the Services, you agree to these Terms and to our Privacy Policy and, where it applies to you, our Consumer Health Data Privacy Policy, each of which is incorporated by reference. If you do not agree, do not use the Services.
Medical care is not provided under these Terms. It is provided by the Medical Groups described in §7 under a separate Telehealth Informed Consent and the Medical Groups’ Notice of Privacy Practices, which you will be asked to acknowledge before receiving clinical services.
2. Eligibility
You must be at least 18 years old, able to form a binding contract, and a resident of and physically located in the United States when you use the Services. The Services are not directed to anyone under 18 and we do not knowingly collect information from minors; if we learn an account holder is under 18 we will close the account and delete the data as required by law. Clinical services are available only in states where the Medical Groups have licensed clinicians; we may restrict, suspend, or discontinue any Service in any state for legal, regulatory, or business reasons.
You agree to provide accurate, current, and complete information, to keep your login credentials secure, and to notify us promptly at [email protected] of any unauthorized use of your account. You may hold one account and may not share it. We may require identity verification before enabling higher-risk features such as prescriptions or laboratory orders.
3. What the Services are — and what they are not
Bliv operates a digital health platform that combines software, data integrations, and an AI Assistant with access to licensed clinicians. Depending on your plan and location, the Services may include: a health profile that integrates data you provide or connect (wearables, laboratory results, medical history); AI-generated insights, summaries, and answers; coaching content and wellness programs; scheduling, messaging, and records tools; and the ability to request clinical services — including evaluations, prescriptions, laboratory testing, and medication fulfillment — from the Medical Groups and their pharmacy and laboratory partners.
Metabody Services, LLC IS A TECHNOLOGY AND MANAGEMENT SERVICES COMPANY. IT IS NOT A HEALTHCARE PROVIDER, DOES NOT PRACTICE MEDICINE, AND DOES NOT EMPLOY OR CONTROL THE CLINICAL JUDGMENT OF THE CLINICIANS WHO TREAT YOU. YOUR USE OF THE SERVICES DOES NOT CREATE A PROVIDER–PATIENT RELATIONSHIP WITH Metabody Services, LLC. THE SOFTWARE COMPONENTS OF THE SERVICES, INCLUDING THE AI ASSISTANT, ARE INFORMATIONAL TOOLS AND ARE NOT A MEDICAL DEVICE.
Not for emergencies. The Services are not designed for, and must not be used in, medical emergencies or mental-health crises. If you think you may have a medical emergency, call 911 or go to the nearest emergency room. If you are in crisis, call or text 988. No part of the Services is monitored in real time for emergencies.
4. Accounts, security, and communications
Electronic communications. You consent to receive communications from us and from the Medical Groups electronically — by email, in-app message, push notification, or text — and you agree that electronic communications satisfy any legal requirement that a communication be in writing. You may request a paper copy of any legally required notice at [email protected].
Text messages and calls. By providing your mobile number you agree to receive service and account text messages from us and the Medical Groups. Coaching and marketing text messages are sent only if you separately opt in. Message and data rates may apply, and message frequency varies. Reply STOP to opt out of marketing or coaching SMS (transactional and account messages continue) and HELP for help. By providing your phone number, you also consent to service and, with separate consent, marketing phone calls, including calls placed with automated dialing systems or prerecorded or artificial voices, where permitted by law. Consent to marketing texts or calls is not a condition of purchasing anything or of receiving care. Standard text messages are not encrypted; do not send personal health information by text. We do not share, sell, or provide your mobile phone number or SMS consent data to third parties or affiliates for their marketing or promotional purposes.
5. Subscriptions, purchases, and billing
Free and paid plans. Some features are free; others require a paid subscription, a one-time purchase (for example, a wellness program or a package of AI usage credits), or payment for clinical services and prescription products. Prices, billing frequency, renewal terms, and what is included are shown at the point of purchase and form part of these Terms.
Automatic renewal. Paid subscriptions renew automatically at the end of each billing period, at the then-current price, until you cancel. By subscribing you authorize us (or our payment processor or the applicable app store) to charge your payment method at each renewal. Before you subscribe we will clearly disclose the recurring charge, its frequency, any minimum term, and how to cancel, and we will ask for your separate affirmative consent to the automatic-renewal terms. We will send you a confirmation with those terms, remind you of renewal terms at least annually, and give you advance notice of any price increase and of the end of any free trial or promotional period before charging you.
Cancellation. You can cancel a subscription at any time, and cancelling is at least as easy as signing up: use the cancellation control in your account settings (or the app store subscription settings if you subscribed through an app store), or contact [email protected]. Cancellation takes effect at the end of the current billing period; you keep access until then. Cancelling a subscription does not by itself cancel a pending prescription order, laboratory order, or clinical appointment — see §7.
Refunds — subscriptions and programs. You can cancel a subscription at any time; you keep access through the end of the period you have paid for, and we do not charge you again. Except where the law of your state requires otherwise or we say otherwise at purchase, subscription fees, program fees, and AI credits already charged are not refunded or prorated. If we terminate your account without cause or discontinue a paid Service in your state, we will refund any prepaid, unused amounts.
Refunds — clinical services and prescription products. The following applies to amounts you pay through the Services for clinical services and medications: (a) Clinical evaluation. If a clinician determines that you are not a candidate for treatment or declines to treat you, the evaluation fee is refunded in full. Once an evaluation has been completed and treatment has been offered, the evaluation fee is not refundable unless we say otherwise at purchase. (b) Medication. You are not charged for medication until a clinician has approved a prescription. You may cancel a medication order for a full refund at any time before the prescription is transmitted to the pharmacy. After the prescription has been transmitted, medication is not refundable, because it is prepared for you and cannot be restocked; if a shipment arrives damaged, incorrect, or unusable, tell us within 7 days and we will arrange a replacement at no charge. If a pharmacy is unable to fill your prescription for any reason, you will receive a full refund of the medication charge or, if you prefer, an alternative your clinician approves. (c) No hidden deductions. We do not deduct set-up, coordination, or processing fees from refunds unless a specific, separately stated fee was disclosed to you before purchase. (d) How to request. Contact [email protected]; approved refunds are issued to the original payment method within 10 business days.
AI usage credits and programs. Credits and program purchases are licenses to use the Services, not property; they are non-transferable, expire as stated at purchase, and have no cash value.
Payment processing; taxes; failed payments. Payments are processed by third-party processors under their own terms. You are responsible for applicable taxes. If a payment fails we may retry it, suspend paid features, and, after notice, cancel the subscription.
App store purchases. If you buy through Apple’s App Store or Google Play, the store’s billing, cancellation, and refund rules apply to that purchase, and we may be unable to process refunds directly. Clinical services, prescription products, laboratory testing, and physical goods are billed outside the app stores.
6. The AI Assistant
What it is. The Services include an AI assistant (the “AI Assistant”) that uses generative artificial intelligence and other machine-learning models to read the data in your health profile, answer your questions, summarize information, flag items that may deserve a clinician’s attention, and draft materials for your care team. You are interacting with software, not a person.
What it is not. The AI Assistant does not provide medical advice, diagnosis, or treatment; does not prescribe; and does not make clinical decisions. Information it provides — including information about conditions, medications, laboratory values, or your own data — is for informational and educational purposes only. Only a licensed clinician can evaluate, diagnose, treat, or prescribe for you, and every clinical decision in your care is made by a clinician, not by the AI Assistant.
AI-GENERATED CONTENT CAN BE INCOMPLETE, INACCURATE, OUTDATED, OR MISLEADING, AND MAY NOT ACCOUNT FOR YOUR SPECIFIC CONDITIONS, MEDICATIONS, OR CIRCUMSTANCES. ALWAYS CHECK WITH YOUR CLINICIAN OR ANOTHER QUALIFIED HEALTHCARE PROFESSIONAL BEFORE MAKING ANY DECISION ABOUT YOUR HEALTH, MEDICATIONS, DIET, EXERCISE, OR TREATMENT BASED ON ANYTHING THE AI ASSISTANT SAYS. NEVER DISREGARD OR DELAY PROFESSIONAL MEDICAL ADVICE BECAUSE OF AI-GENERATED CONTENT.
Human oversight. Clinicians at the Medical Groups may review AI Assistant conversations and outputs as part of your care, and AI-generated summaries or drafts intended for your care team are reviewed by a clinician before any clinical action is taken. We do not use the AI Assistant to make decisions that have a legal or similarly significant effect on you without human review.
How your information is used. To respond to you, the AI Assistant processes the information you provide and the data in your health profile. We use third-party artificial-intelligence service providers — currently Anthropic and OpenAI — to help operate the AI Assistant. Those providers act on our behalf under contracts — including business associate agreements where protected health information is involved — that prohibit them from using your information to train their models and that limit how long they may retain it. Your conversations may be stored as part of your account and, where relevant to your care, your medical record. We may use information that has been de-identified in accordance with applicable law — so that it no longer identifies you — to evaluate, improve, and develop the Services, including our models, as described in the Privacy Policy.
Prohibited uses of the AI Assistant. You agree not to use the AI Assistant: as a substitute for a clinician, or as a primary source for diagnosis, treatment decisions, or medication or dosage decisions; to obtain or calculate medication doses; for emergencies or crises; to attempt to obtain information about any other person; to circumvent its safety features or extract its system instructions; or to generate content you present as coming from a clinician. Outputs are for your personal use; you may not use them to build, train, or benchmark another AI system.
Ownership of outputs. As between you and us, we own the AI Assistant’s outputs, and we grant you a license to use outputs generated for you for your personal, non-commercial purposes. You own the information you provide; see §10.
7. Clinical services, the Medical Groups, and prescription products
The Medical Groups. All medical care available through the Services — evaluations, diagnoses, treatment plans, prescriptions, laboratory orders, refills, and follow-up — is provided by Metabody Medical P.A. and its affiliated professional entities listed below (together, the “Medical Groups”), independent professional entities owned by licensed physicians, and by the licensed clinicians they employ or engage. The Medical Group responsible for your care depends on the state where you are located when you receive care:
| Entity name | States served |
|---|---|
| Metabody Medical P.A. | All states except as stated below |
| Metabody Medical Associates of California PC | California |
| Metabody Medical Northeast P.C. | New Jersey and New York |
| Metabody Medical of Kansas P.A. | Kansas |
| Metabody Medical of Colorado P.C. | Colorado |
| Metabody Medical of Texas PLLC | Texas |
Metabody Services, LLC provides the Medical Groups with technology, administrative, and management services under written agreements and is responsible only for those non-clinical services. The Medical Groups and their clinicians exercise independent professional judgment and are solely responsible for the care they provide.
Telehealth consent and privacy notice. Before you receive clinical services you will be asked to (i) consent to receive care by telehealth on the terms of the Medical Groups’ Telehealth Informed Consent, including any state-specific terms, and (ii) acknowledge receipt of the Medical Groups’ Notice of Privacy Practices, which explains how they use and disclose your protected health information under HIPAA. Those documents govern your clinical relationship; if they conflict with these Terms as to clinical matters, they control.
No guarantee of treatment. Requesting a clinical service is not a guarantee that you will be accepted as a patient, evaluated, prescribed any medication, or achieve any outcome. A clinician may decline to treat you or to prescribe for you, may require additional information, laboratory testing, or an in-person visit, and may discontinue treatment, in each case in the clinician’s professional judgment. You are responsible for taking medications only as prescribed and for telling your clinician about all your conditions, medications, and allergies.
Prescription products and pharmacies. Prescriptions are filled by licensed U.S. pharmacies or outsourcing facilities selected by the Medical Groups (“Pharmacy Partners”). Pharmacy Partners are independent of Metabody Services, LLC; dispensing is governed by their terms and by state pharmacy law. Medications are shipped only to the U.S. address you provide; you are responsible for accurate shipping information and for receiving and properly storing shipments, and we are not responsible for delays or damage caused by carriers or by weather or handling after delivery. Prescription products cannot be returned. Controlled substances are not available through the Services.
Compounded medications. Some medications prescribed through the Services may be compounded medications, prepared for you by a state-licensed compounding pharmacy pursuant to your individual prescription. Compounded medications are not FDA-approved. The FDA does not verify the safety, effectiveness, or quality of compounded drugs before they are dispensed. A compounded medication is not the same as, and is not a generic version of, any FDA-approved brand-name product, even if it contains the same active ingredient. Your clinician will prescribe a compounded medication only when the clinician determines it is clinically appropriate for you, and will discuss the reasons with you. The name and contact information of the pharmacy that prepared your medication appear on the prescription label and in your order details. Read all information provided with your medication and report any side effects to your clinician.
Laboratory testing. Laboratory tests are ordered by a clinician and performed by independent CLIA-certified laboratories. Results are delivered through the Services and to your clinician; the laboratories’ terms govern collection and testing.
Payment for clinical services. Clinical services and prescription products are paid for through the Services on a self-pay basis. Neither Metabody Services, LLC nor the Medical Groups bill insurance, Medicare, or Medicaid unless expressly stated. You may be able to seek reimbursement from a health plan or use an HSA/FSA; we make no representation about eligibility.
8. Wearables, connected devices, and third-party data
You may connect wearables, health apps (such as Apple Health), laboratory accounts, or other third-party sources to your health profile. Connecting a source authorizes us to import the data you select and to keep it current until you disconnect the source, which you can do at any time in your settings. Third-party devices and services are not provided by us, are governed by their own terms and privacy policies, and may be inaccurate, incomplete, or unavailable; they are not medical devices unless the manufacturer says otherwise. Wearable and device data and the insights we derive from it are estimates for informational purposes and should not be used to make medical decisions without consulting your clinician. We disclose the data types we collect from connected sources, and the methods behind any health metric we calculate, in the Services.
Data from Apple HealthKit, Google Health Connect, or similar frameworks is used only to provide health and wellness features to you and is never used for advertising, marketing, or sold or shared with data brokers.
9. Acceptable use
You agree not to: use the Services for any unlawful purpose or in violation of any law, including health-care, privacy, and controlled-substance laws; provide false information about your identity, location, or health, or obtain services for another person; attempt to obtain prescriptions or clinical services from multiple providers without disclosure; access another person’s account or data; interfere with the security or operation of the Services; use bots, scrapers, or automated means to access the Services or extract data or outputs; reverse engineer, decompile, or attempt to derive source code, model weights, or training data; use the Services or any output to develop, train, fine-tune, or evaluate a competing product or model; remove proprietary notices; frame or mirror the Services; upload malicious code; harass, threaten, or abuse our staff or clinicians; or resell or commercially exploit the Services. We may investigate violations and cooperate with law enforcement.
10. Your information and content
You retain ownership of the information and content you submit to the Services, including your health data (“Your Content”). You grant Metabody Services, LLC and its service providers a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works of Your Content solely to provide, secure, and improve the Services, to communicate with you, to comply with law, and as otherwise described in the Privacy Policy. This license ends when you delete Your Content or your account, except that we may retain copies as required by law or medical-records rules, in routine backups, and in de-identified form. You are responsible for having the rights to anything you submit and for its accuracy. You agree that we may de-identify Your Content in accordance with applicable law and that de-identified data is not Your Content.
Feedback. If you give us suggestions or feedback, we may use them without obligation to you.
11. Privacy
Our Privacy Policy describes how Metabody Services, LLC collects, uses, and shares information, including your rights under state privacy laws and how to exercise them, including through the “Your Privacy Choices” link on joinbliv.com. Our Consumer Health Data Privacy Policy describes our practices for consumer health data as defined by Washington, Nevada, and similar state laws; where those laws apply, we will ask for your consent before collecting consumer health data that is not necessary to provide a service you have requested. Protected health information held by the Medical Groups is governed by their Notice of Privacy Practices and by HIPAA, not by these Terms.
12. Intellectual property
The Services — including software, models, algorithms, text, graphics, interfaces, and the Bliv name and logos — are owned by Metabody Services, LLC or its licensors and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal, non-commercial purposes. No other rights are granted. If you believe content on the Services infringes your copyright, notify our designated agent at [email protected] with the information required by 17 U.S.C. § 512(c)(3).
13. Third-party services and links
The Services may link to or integrate third-party websites, apps, devices, payment processors, pharmacies, and laboratories. We do not control and are not responsible for third-party services, their content, or their privacy practices. Your use of them is at your own risk and subject to their terms.
14. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, ALL CONTENT, AND ALL AI ASSISTANT OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND COMPLETENESS. Metabody Services, LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE, OR THAT USE OF THE SERVICES WILL PRODUCE ANY PARTICULAR HEALTH OUTCOME. NOTHING IN THESE TERMS LIMITS ANY WARRANTY OR REMEDY THAT CANNOT BE LIMITED UNDER THE LAW OF YOUR STATE.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Metabody Services, LLC, ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL LIABILITY OF Metabody Services, LLC AND ITS AFFILIATES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO Metabody Services, LLC FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limitations do not apply to liability that cannot be limited by law, and they do not limit the professional liability of the Medical Groups or their clinicians for clinical services, which is governed by applicable law and the Telehealth Informed Consent. Some states do not allow certain limitations; in those states our liability is limited to the fullest extent permitted.
16. Indemnification
You agree to defend, indemnify, and hold harmless Metabody Services, LLC, its affiliates, and their officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to Your Content, your use of the Services, your violation of these Terms or of any law, or your violation of any third party’s rights. This does not apply to the extent a claim results from our own negligence or misconduct.
17. Dispute resolution — binding arbitration and class-action waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND Metabody Services, LLC TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND IT WAIVES THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT WITHIN 30 DAYS AS DESCRIBED IN §17.7.
17.1 Informal resolution first. Before starting an arbitration or lawsuit, the party with a dispute must send the other a written notice describing the dispute and the relief sought (to [email protected] and 2943 Parkway Blvd, Unit 374, West Valley City, UT 84119 for us; to your account email for you). You and we agree to try in good faith to resolve the dispute informally, including through at least one telephone or video conference if either party requests, for 60 days after the notice. Any applicable statute of limitations is tolled during this period. A notice must be individual to the party sending it; a notice on behalf of multiple people does not satisfy this requirement.
17.2 Agreement to arbitrate. Except as provided in §17.4, any dispute, claim, or controversy between you and Metabody Services, LLC arising out of or relating to these Terms or the Services — including its formation, interpretation, enforceability, or scope, and including claims that arose before you accepted these Terms — will be resolved by binding individual arbitration administered by JAMS under its Comprehensive Arbitration Rules and Streamlined Arbitration Rules and its Consumer Arbitration Minimum Standards then in effect (available at jamsadr.com). The Federal Arbitration Act governs this §17. The arbitrator, not a court, decides all threshold questions, including arbitrability, except that a court decides disputes about §17.3 and §17.6.
17.3 Class-action and jury waiver. You and Metabody Services, LLC agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding, and that the arbitrator may not award relief to or against anyone who is not a party. You and we waive any right to a jury trial. If this §17.3 is found unenforceable as to a particular claim or request for relief, that claim or request (and only that one) must be brought in court under §17.9, and the remaining claims proceed in arbitration. Nothing in this section prevents you from seeking public injunctive relief in court where that right cannot be waived.
17.4 Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies; (b) seek injunctive or other equitable relief in court to protect intellectual property or to stop unauthorized use of the Services, including unauthorized scraping or use of outputs to train AI systems; and (c) bring claims that applicable law does not permit to be arbitrated. Claims against the Medical Groups or their clinicians relating to clinical care are governed by applicable law and the Telehealth Informed Consent, not by this §17.
17.5 Procedure. Arbitration will be conducted by a single neutral arbitrator. Hearings, if any, will take place in Salt Lake County, Utah, unless you and we agree otherwise or the arbitrator determines that a hearing by video conference or in the county where you live is appropriate; claims of $25,000 or less will be decided on written submissions unless the arbitrator finds a hearing necessary. Arbitration fees are allocated under the JAMS Consumer Minimum Standards; if you cannot afford the filing fee, we will pay it upon request. The arbitrator may award the same individual relief a court could, must follow these Terms, and will issue a reasoned written decision. Judgment on the award may be entered in any court with jurisdiction.
17.6 Coordinated (mass) filings. If 25 or more similar demands are filed by or with the assistance of the same or coordinated counsel within 90 days, the parties agree to the following: JAMS will administer them in staged batches of up to 50; the parties will each select 10 demands from the first batch to proceed as bellwethers, and the rest will be stayed; bellwether decisions are not binding on other claimants; after the bellwethers conclude, the parties will mediate the remaining claims for 60 days, and any claimant whose claim remains unresolved may then choose to proceed in arbitration or to opt out of arbitration and file in court under §17.9. Statutes of limitations are tolled from the filing of a demand until the claimant’s dispute is resolved or the claimant opts out. A court, not the arbitrator, resolves disputes about this §17.6.
17.7 30-day opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days after you first accept these Terms, stating your name, account email, and that you opt out of arbitration. Opting out does not affect any other part of these Terms. If we materially change this §17 in the future, you may reject the change by opting out within 30 days of notice, in which case the prior version of §17 continues to apply.
17.8 Severability; survival. Except as stated in §17.3, if any part of this §17 is found unenforceable the rest remains in effect. This §17 survives termination of your account or these Terms.
17.9 Venue for court proceedings. Any claim that proceeds in court under this §17 must be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you and we consent to personal jurisdiction there, except that either party may bring a qualifying claim in small-claims court in your county of residence.
18. Governing law
These Terms and any dispute arising out of them are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules, except that §17 is governed by the Federal Arbitration Act and nothing in this section deprives you of the protection of consumer-protection laws of the state where you live that cannot be waived by contract.
19. Changes to the Services and these Terms
We may change the Services at any time. We may also revise these Terms. If a revision is material, we will notify you by email to your account address and by notice in the Services, and we will state the effective date. Continued use after the effective date constitutes acceptance; if you do not agree, cancel your account before that date and any prepaid, unused subscription fees will be refunded on request. Changes do not apply to disputes already the subject of a notice under §17.1. We will always post the current version and its effective date at joinbliv.com/terms.
20. Suspension and termination
You may close your account at any time in your settings or by contacting [email protected]; you can also request deletion of your data as described in the Privacy Policy, subject to medical-records and other legal retention requirements. We may suspend or terminate your access, with notice where practicable, if you violate these Terms, if we reasonably believe your use presents a safety, security, legal, or fraud risk, if required by law, or if we discontinue the Services in your state. If we terminate without cause, we will refund any prepaid, unused subscription fees. Termination of your account does not terminate any ongoing clinical relationship, which the Medical Groups will address with you directly, and does not affect your rights to your medical records. Sections that by their nature should survive — including §§6 (prohibited uses and ownership), 10, 12, 14–18, and 21 — survive termination.
21. Terms for apps downloaded from app stores
If you download our app from the Apple App Store, the following also applies: these Terms are between you and Metabody Services, LLC only, not Apple; Apple has no obligation to furnish maintenance or support or to address any claim relating to the app, including product-liability, legal-compliance, and intellectual-property claims; in the event the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the app (if any), and to the maximum extent permitted by law Apple has no other warranty obligation; you represent that you are not located in a country subject to a U.S. Government embargo or designated a “terrorist supporting” country and are not on any U.S. Government list of prohibited or restricted parties; you must comply with applicable third-party terms when using the app; and Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them against you. Equivalent terms apply to apps downloaded from Google Play Store under Google’s terms.
22. General
These Terms, together with the Privacy Policy, the Consumer Health Data Privacy Policy, and any terms presented at purchase, are the entire agreement between you and Metabody Services, LLC about the Services and supersede prior agreements. If any provision is found unenforceable it will be enforced to the extent permitted and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or to a successor in connection with a merger, acquisition, corporate reorganization, or sale of assets, and we will notify you of any assignment that changes the entity you contract with. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Metabody Services, LLC, or between Metabody Services, LLC and the Medical Groups’ clinicians. Neither party is liable for delay or failure caused by events beyond its reasonable control. Notices to you may be given by email to your account address or through the Services; notices to us must be sent to [email protected] or 2943 Parkway Blvd, Unit 374, West Valley City, UT 84119. Headings are for convenience only. The English-language version controls.
